In response to recent press Carrefour disclaims any hostile intent towards Casino (Paris: CO) and claims that the agreements between Casino and the Diniz group do not contain any provision prohibiting discussions or negotiations, Casino stresses that:
(1) The nature of the hostile attitude of Carrefour is established by the fact that Carrefour has been conducting secret talks for months that seek to capture control of the Brazilian society CBD. If Carrefour had no hostile intent toward the Casino, it would clearly informed of the Casino project, as the largest shareholder in CBD exercising joint control of the company.
(2) The letter and spirit of the agreements concluded between public and Casino group Diniz prohibit such negotiations and Casino is confident that the courts who are or will be captured confirm this. The order of the President of the Commercial Court of Nanterre from 24 June 2011 noted in this regard:
- "Carrefour, already present in Brazil for years, knew the relationship between Casino and the Diniz group and knew they assumed a mutual loyalty. "
- "Crossroads was capable of undertaking negotiations that could make it complicit in any breach of contractual agreements which it had full knowledge of tort liability with respect to the Casino. "
Thus, contrary to what Carrefour, a project of this nature requires perfect information and the rights of all parties involved.
